Business Subscription Agreement

This Business Subscription Agreement (“Agreement”) is between SatvicTech (the registered provider, “SatvicTech”, “we”) and the business identified in the signature block below (the “Customer”, “you”). LocSeva is a software-as-a-service product of SatvicTech. By signing below, or by creating an account or using LocSeva to run your outlet, you agree to this Agreement. It is separate from the guest terms that apply to your diners.

The service & your account

LocSeva provides software to take bookings and orders, run your kitchen and floor, take payments, and message guests. You are responsible for your account, your staff’s use, your menu and pricing, your tax settings, and the food and service you provide to guests.

Subscription & fees

LocSeva is offered on a subscription basis for the plan and term you choose. Fees are billed in advance for each billing period and are non-refundable except as stated below. Guest payments settle to your connected payment account (Razorpay / UPI); those are separate from your LocSeva subscription. We may suspend or limit access if your subscription fees are overdue.

Service availability & discontinuation

We aim to keep LocSeva available but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue LocSeva (in whole or in part) at any time. If LocSeva is unavailable for an extended period, or we discontinue the service for all customers, you will not be charged for the affected billing month — any fees already paid for that period are credited to your next period or refunded on a pro-rata basis. This credit or refund is your sole and exclusive remedy for such unavailability or discontinuation.

No warranty

LocSeva is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted operation.

Limitation of liability

To the maximum extent permitted by law, SatvicTech is not liable for any indirect, incidental, special, or consequential losses (including lost profits, revenue, goodwill, or data). Our total liability for any claim relating to LocSeva will not exceed the subscription fees you paid to us in the three (3) months before the claim arose. Nothing here limits liability that cannot be limited under applicable law.

Third-party services

LocSeva relies on third-party services you or we connect — including payment processing (Razorpay, UPI), messaging (WhatsApp / Meta), and cloud hosting. We are not responsible for their availability, actions, fees, or policies, and your use of them is subject to their own terms.

Your responsibilities & indemnity

You are responsible for your menu, prices, taxes, the food and service you provide, and your compliance with applicable laws. You agree to indemnify and hold SatvicTech harmless from claims, losses, or expenses arising from your use of LocSeva, your content, your dealings with guests, or your breach of this Agreement.

Events beyond our control

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including outages of internet, power, payment networks, or third-party providers, or acts of government.

Your data

You own the business and guest data you enter into LocSeva. We process it only to provide the service and as described in our Privacy Policy. On termination you may request an export of your data, after which we may delete it following a reasonable retention period.

Data security

We keep your café’s data safe with industry-standard, commercially reasonable safeguards — encrypted connections, per-outlet data isolation, role-based access controls, and payment and secret keys encrypted at rest. While we work hard to protect your data, no system is perfectly secure, so we cannot guarantee absolute security; you are responsible for keeping your account credentials confidential and your staff access appropriate.

Confidentiality

Each party will keep the other’s non-public business information confidential and use it only to perform this Agreement. This obligation survives termination.

Not legal, tax, or accounting advice

LocSeva is software, not professional advice. You are responsible for your own GST, FSSAI, licensing, labour, and other regulatory compliance. Reports, totals, and forecasts in LocSeva are operational aids, not certified financial or tax statements.

Acceptable use

You will not misuse the service, attempt to breach or probe its security, reverse-engineer or copy it, resell or sub-license it without our consent, or use it for any unlawful purpose.

Term & termination

Either party may end the subscription effective at the close of the current billing period. We may suspend or terminate access immediately for non-payment or material breach. On termination your access ends; the sections on fees owed, liability, and data survive.

Governing law

This Agreement is governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts at SatvicTech’s registered office. We may update these terms; material changes are reflected by the “last updated” date above.

General

This Agreement is the entire agreement between the parties on its subject and supersedes prior discussions. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. We may assign this Agreement in connection with a merger, acquisition, or sale of assets; you may not assign it without our prior written consent.
